Branch of a Foreign Company in Azerbaijan: Documents and Registration

A branch is a convenient way for a foreign company to start operating in Azerbaijan without setting up a separate legal entity. The key thing to know upfront: almost all the documents are prepared by the parent company in its home country, and their quality decides how quickly registration goes.

Short answer: A foreign company’s branch in Azerbaijan is registered by the State Tax Service under the Ministry of Economy within 2 days of filing a complete package. The parent provides a decision to open the branch, branch regulations, its registration documents and a power of attorney for the branch head — apostilled or legalised, with a notarised Azerbaijani translation.

What is a branch and how is it different from an LLC?

A branch is a separate division of the foreign company, not an independent legal entity. It operates on behalf of the parent under regulations the parent approves, and the parent company is fully liable for the branch’s obligations. The branch head is appointed by the parent and acts within the power of attorney issued to them.

At the same time, a branch may carry out any activity not prohibited by Azerbaijani law — in other words, it can run full commercial operations. If the company only needs to represent its interests without selling locally, a representative office is the usual choice. If separate liability and its own shareholders matter, an LLC is the better fit.

Who registers a branch and how long does it take?

Branches and representative offices of foreign commercial legal entities are registered by the State Tax Service under the Ministry of Economy of the Republic of Azerbaijan. The timeframe is 2 days from submission of a complete package. Branches and representative offices of foreign non-commercial organisations are registered by the Ministry of Justice instead.

In practice, most of the time goes not into the registration itself in Baku, but into preparing, apostilling and translating the parent company’s documents.

Which documents does the parent company need to provide?

Banks and insurance companies also need consent from the competent authority.

Do the documents need an apostille and translation?

Yes. Documents issued abroad must be authenticated for use in Azerbaijan, then translated into Azerbaijani with the translation notarised. The route depends on the country that issued the document:

  • Apostille — for countries party to the 1961 Hague Convention. Azerbaijan has been a party since 2005; Türkiye and Russia, for example, are parties too.
  • Consular legalisation — for countries outside the convention, through Azerbaijan’s diplomatic mission in that country.
  • Simplified regime — for documents from countries party to the 2002 CIS Convention on Legal Assistance, which Azerbaijan has ratified.
  • Notarised translation — into Azerbaijani, for all foreign documents.

Frequently asked questions

Is a branch a legal entity?
No. A branch is a division of the foreign company; it operates under the parent’s regulations, and the parent company is liable for its obligations.

Can a foreigner be the head of the branch?
Yes. The head is appointed by the parent company and acts under its power of attorney. Holding the position of head or deputy head of a foreign company’s branch is one of the grounds for a temporary residence permit; the decision rests with the State Migration Service.

How long does branch registration take?
The registration itself takes 2 days after a complete package is filed. The overall timeline depends on how quickly the parent company prepares, apostilles and translates its documents.

How is a branch different from a representative office?
A branch can carry out commercial activity on behalf of the parent, while a representative office is set up mainly to represent and protect the parent’s interests. Neither is a legal entity, and both are registered the same way.
