Company Legal Address in Azerbaijan: Requirements and Documents

Every company in Azerbaijan needs a legal address. It is where the company is registered, where it is placed on the tax register and where state bodies and partners reach it — so the address deserves the same attention as the charter.

Short answer: The legal address is where the company’s permanently acting body is located. Registration requires the original of an address document — usually a title document or lease agreement, or the owner’s consent if the premises belong to someone else. The company is tax-registered at this address; a change of address must be registered within 15 working days.

What is the legal address used for?

The State Tax Service, which registers commercial legal entities, defines the legal address as information on where the company’s permanently acting body is located. The address goes into the state register and is then used in all dealings with the state: under Article 33.1 of the Tax Code, legal entities are registered with the tax authorities at their location — the legal address stated in the state registration documents — specifically to ensure tax control. The same address appears in contracts, invoices, bank documents and official correspondence.

Which documents confirm the address?

The list of documents for registering a commercial entity includes a separate item: the original of a document confirming the legal address. For places of business (a branch, representative office, shop or office), the tax guide expressly names a title document, a lease agreement or another document provided for by law.

Situation What confirms the address
The premises belong to the company Title (ownership) document
The office is leased Lease agreement
The premises belong to another person, including residential premises The owner’s consent to use the premises as the legal address
The company changes its address A document confirming the new legal address
An additional place of business is opened Title document, lease agreement or another document provided by law

How does the tax authority check the address?

The first check happens at registration: if the documents contain deficiencies that are grounds for refusal, the application is not processed. Once the documents are in order, state registration is completed within 2 days. Importantly, a foreigner does not need a residence permit to set up a company: the tax service explains that non-residents can establish an LLC with foreign investment. The company’s address, however, must be in Azerbaijan and backed by a document.

After registration, the address remains part of the company’s tax data: tax registration is tied to the company’s location, and tax control measures take place where the company actually operates. That is why the registered address and the actual address should match.

What happens if the address is not valid?

  • Registration of the company, or of later changes, can be refused if the address document does not meet the requirements.
  • Letters and notices from state bodies and counterparties do not reach the company, because they are sent to the registered address.
  • A mismatch between the registered and actual address raises additional questions from the tax authority, the bank and business partners.
  • Missed deadline: after a move, the application to register the change must be filed within 15 working days of the change.

— SME: The most common mistake is to arrange an address “just for registration” and then forget about it. We recommend choosing an address where the company will actually receive mail, getting the owner’s written consent in advance and keeping an eye on the lease term. If the lease expires and the address isn’t updated, it usually surfaces at the worst moment — during an inspection or when opening a bank account.

Frequently asked questions

Can a company be registered at a residential apartment?
Practice allows it: the owner gives consent to use the residential premises as the legal address. Whether a particular apartment is suitable depends on its documents and the type of activity, so it is best checked in advance.

Does a foreign founder need a residence permit to register a company?
No. According to the tax service, non-residents can establish an LLC with foreign investment. The legal address, however, must be in Azerbaijan and supported by a document.

What should I do when the office moves?
File an application to register the change within 15 working days of the change, together with a document confirming the new legal address.

Do I need a separate document for a shop or branch?
Yes. Each place of business is registered with the tax authority with an address document: a title document, a lease agreement or another document provided for by law.
